Your agreement with xclade

These terms govern your use of xclade's headless commerce platform. By signing up for xclade, you agree to these terms.
What xclade provides
The platform
xclade is a headless commerce platform that helps businesses manage multi-channel selling, inventory, and order processing through a unified system. We provide the software, infrastructure, and support to run your commerce operations.
Service availability
We aim for 99.9% uptime and work continuously to maintain platform reliability. Scheduled maintenance happens during low-traffic periods with advance notice when possible.
Support and updates
Your subscription includes technical support, security updates, and platform improvements. We add new features and integrations regularly based on customer feedback and market needs.
Your responsibilities
Account security
You're responsible for keeping your account credentials secure and for all activity that happens under your account. Use strong passwords and enable two-factor authentication when available.
Lawful use
Use xclade only for lawful business purposes. Don't use the platform to sell illegal products, violate intellectual property rights, or engage in fraudulent activities.
Data accuracy
Ensure the information you provide about your business, products, and customers is accurate and up to date. This includes product descriptions, pricing, inventory levels, and customer data.
Compliance obligations
You're responsible for complying with applicable laws in your jurisdiction, including tax obligations, consumer protection regulations, and data protection requirements.
Acceptable use
Platform limits
Each plan has specific limits on orders, products, API calls, and storage. We'll notify you if you approach these limits and help you upgrade if needed.
Prohibited activities
Don't attempt to reverse engineer the platform, access other customers' data, or use the service to harm xclade or other users. Don't upload malicious code or attempt to breach our security measures.
Content standards
Product listings and content must be accurate and not misleading. Don't upload content that violates intellectual property rights, contains hate speech, or promotes illegal activities.
Payment and billing
Subscription fees
Plans are billed monthly or annually in advance. Prices are listed on our pricing page and may change with reasonable notice for new billing periods.
Payment processing
We use third-party payment processors to handle billing. Your payment information is subject to their terms and privacy policies in addition to ours.
Late payments
If payment fails, we'll attempt to collect payment and may suspend your account after reasonable notice. You're responsible for any fees charged by your bank or payment provider.
Refunds
We offer refunds within 30 days of initial signup if you haven't actively used the platform. Refunds for other situations are handled case by case.
Data and privacy
Your data ownership
You own all the business data you upload to xclade, including customer information, product catalogs, and order history. This data belongs to you, not to xclade.
Data processing
We process your data as necessary to provide the platform services you've subscribed to. This includes storing data, syncing across channels, and processing orders.
Data export
You can export your data at any time in standard formats. If you cancel your account, we'll help you export your data and then delete it from our systems within 30 days.
Privacy compliance
We handle personal data according to our Privacy Policy and applicable data protection laws, including GDPR where relevant.
Intellectual property
xclade's rights
xclade owns the platform software, infrastructure, and any improvements we make. You don't acquire ownership rights to the underlying technology.
Your content
You retain ownership of content you upload, including product descriptions, images, and customer data. You grant us permission to use this content as necessary to provide the service.
Third-party integrations
When you connect third-party services to xclade, you're subject to their terms of service in addition to ours. We're not responsible for third-party service availability or functionality.
Platform availability and changes
Service modifications
We may modify platform features, add new functionality, or discontinue certain capabilities with reasonable notice. We'll communicate significant changes in advance when possible.
Maintenance and downtime
Scheduled maintenance is typically announced in advance. Emergency maintenance may happen without notice to address security issues or critical problems.
API and integration changes
We maintain backward compatibility for API integrations when possible but may need to make breaking changes for security or performance reasons. We'll provide migration guidance and reasonable notice.
Limitation of liability
Service disclaimers
xclade is provided "as is" without warranties of any kind. While we work to maintain reliable service, we can't guarantee uninterrupted operation or error-free performance.
Liability limits
Our liability to you is limited to the amount you've paid for the service in the 12 months before the incident. We're not liable for indirect damages, lost profits, or business interruption.
Your business responsibility
You're responsible for your business decisions, including pricing, inventory management, and customer service. xclade provides tools but doesn't make business decisions for you.
Account termination
Termination by you
You can cancel your account at any time through your dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.
Termination by xclade
We may suspend or terminate accounts for non-payment, violation of these terms, or if we're unable to continue providing service. We'll provide reasonable notice except in cases of serious violations.
Data after termination
After account termination, we'll help you export your data and then delete it from our systems within 30 days. Make sure to export any data you need before cancelling.
Dispute resolution
Governing law
These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
Problem resolution
If you have issues with the service, contact our support team first. Most problems can be resolved through direct communication.
Limitation period
Any legal claims must be brought within one year of the incident that gave rise to the claim.
General provisions
Changes to terms
We may update these terms to reflect changes in our service or legal requirements. We'll notify you of significant changes and give you time to review them before they take effect.
Entire agreement
These terms, along with our Privacy Policy and any order forms you've signed, constitute the complete agreement between you and xclade.
Severability
If any part of these terms is found to be unenforceable, the rest of the terms remain in effect.
Assignment
You can't transfer your rights under these terms without our permission. We may transfer our rights as part of a business sale or reorganization.
